Our shelf companies have been registered for the purpose of selling them to our customers. The companies have not performed business activity and have only 1 nominal owner / director in their history. They are sold with a notarized declaration of the director stating the company has never performed any trading activity, there are no any contracts or creditors, all annual financial reports have been duly submitted.
A shelf company can be required in any of the following cases:
1. A company is urgently needed for the purpose of signing a contract or becoming a partner in business relationship;
2. The name of the company, address, company activity can be changed immediately to suit the new owner requirements;
3. A bank account is immediately available;
4. A VAT registered company is immediately available;
The transfer of the company requires that the new owner signs a notarized contract for purchasing the shares. It is also possible the new owner notarizes an explicit Power Of Attorney at a Bulgarian consulate in case he/she is not in Bulgaria.
A notarization of the Power Of Attorney at a Notary Public in another country is also possible, but in this case an apostille will be also required.
The timeframe for the company transfer is usually 3-4 days after submission of the documents in the Commercial register.
